1. Introduction

Welcome to PayState, a service provided by Norenor Technologies Inc., located at 7250 Keele St, Second floor, Vaughan ON, L4K 1Z8, Canada ("Company", "we", "our", "us"). These Terms of Service ("Terms") govern your use of our website, mobile applications (iOS & Android), and services (collectively, the "Services"). By accessing or using PayState, you agree to comply with and be legally bound by these Terms.

2. Eligibility

You must be at least 18 years old or the legal age of majority in your jurisdiction to use PayState. By registering an account, you represent that you meet this requirement and that you are legally able to enter into these Terms.

3. Services Provided

PayState offers an online platform for managing and paying bills, splitting payments, switching providers, and tracking subscriptions. We do not act as a financial institution, and all payments are processed through third-party providers.

4. User Responsibilities

• You agree to use PayState only for lawful purposes and in compliance with all applicable laws.
• You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account.
• You agree not to use the Services for fraudulent activities, unauthorized access, or any activities that may harm PayState or other users.

5. Payment Processing

PayState integrates with third-party payment providers to facilitate transactions. While we strive to ensure smooth payment processing, we are not responsible for errors, delays, or disputes that arise from third-party payment providers.

6. Fees & Subscriptions

• PayState operates on a pay-per-bill model ($2 per bill) and a monthly subscription plan ($10 per month for unlimited payments).
• By using our paid services, you agree to the applicable fees and payment terms.
• All fees are in Canadian dollars (CAD) unless otherwise specified.
• Taxes may be applied to your payment based on your location.

7. Cancellation & Refunds

You may cancel your subscription at any time. Subscription fees are non-refundable, except where required by applicable consumer protection laws in Canada.

8. Third-Party Services

PayState integrates with third-party service providers such as Brevo for email communications and Cloudflare for hosting and analytics. We are not responsible for the data practices, security policies, or service disruptions of third-party providers.

9. Account Termination

We reserve the right to suspend or terminate your account if:

• You violate these Terms or engage in fraudulent, unlawful, or abusive activities.
• We detect suspicious activity that may pose a security risk.
• We receive a legal or regulatory request requiring termination.

10. Limitation of Liability

PayState is provided on an "as is" and "as available" basis, without warranties of any kind. To the maximum extent permitted by law, we disclaim all liability for:

• Any loss of data, financial loss, or damages resulting from service disruptions.
• Errors, bugs, or vulnerabilities in third-party services integrated with PayState.
• Unauthorized access to your account due to your failure to maintain account security.

11. Privacy Policy

Your use of PayState is governed by our Privacy Policy, which outlines how we collect, use, and protect your data. By using PayState, you consent to the data practices described in our Privacy Policy.

12. Dispute Resolution

In the event of a dispute between you and PayState, we encourage you to first contact our support team at support@paystate.ca. If we cannot resolve the issue informally, disputes will be handled through binding arbitration in accordance with the laws of Ontario, Canada.

13. Changes to Terms

We reserve the right to update these Terms at any time. Changes will take effect upon posting, and continued use of PayState after updates constitutes acceptance of the revised Terms.

14. Governing Law

These Terms are governed by and interpreted under the laws of the Province of Ontario and the federal laws of Canada applicable therein.
